These Terms of Service ("Agreement") govern the use of private aircraft charter services provided by ECLIPSE AVIATION LTD, trading as Eclipse Charter ("Eclipse Charter", "we", "us", "our"). ECLIPSE AVIATION LTD is a company registered in England and Wales under company number 16373044, with its registered address at 128 City Road, London, United Kingdom, EC1V 2NX. By booking a flight or using any of our services, the Client agrees to be bound by the terms set out below.
1. Definitions
1.1 "Client" refers to the person, company, agent or responsible individual identified in the Confirmation of Booking.
1.2 "Agreement" refers to the Confirmation of Booking, these Terms of Service, and any relevant correspondence between the Client and Eclipse Charter.
1.3 "Aircraft" means the aircraft specified in the Flight Schedule or its suitable substitute.
1.4 "Operator" means the licensed air carrier or aircraft management company responsible for operating the flight.
1.5 "Flight Schedule" refers to the confirmed itinerary, including departure/arrival times, locations, and aircraft details.
1.6 "Charter Price" means the total price payable for the charter flight and related services.
1.7 "Force Majeure" includes events beyond the control of either party, such as natural disasters, war, strikes, government regulations, technical issues, or extreme weather.
2. Role of Eclipse Charter
2.1 Eclipse Charter acts exclusively as a broker between the Client and certified third-party Operators. We do not operate aircraft directly.
2.2 We select Operators that hold valid Air Operator Certificates (AOCs) in accordance with applicable aviation regulations.
3. Aircraft Operations and Safety
3.1 The Operator and its captain retain full operational control of the aircraft, including decisions regarding safety, routing, and whether a flight should proceed.
3.2 The Client agrees to accept all decisions made by the Operator or its crew as final and binding.
3.3 Cabin crew and ground staff act under the authority of the Operator unless prior written authorisation has been granted by the Operator.
4. Substitution of Aircraft
4.1 In the event that the specified aircraft becomes unavailable, Eclipse Charter reserves the right to provide a substitute aircraft of similar specification.
4.2 Any additional cost resulting from a required substitution will be communicated to and approved by the Client prior to confirmation.
5. Client Responsibilities
5.1 The Client shall ensure all passengers arrive on time at the departure point specified in the Flight Schedule.
5.2 Failure to arrive at the departure location at the agreed time may result in the flight departing without the Client or the full Charter Price being forfeited.
5.3 The Client is responsible for damages caused to the aircraft by themselves or their guests.
6. Cancellation Terms
6.1 Cancellation fees apply as follows, unless otherwise stated in the Confirmation of Booking:
- 10% upon booking confirmation
- 25% if cancelled less than 7 days before departure
- 50% if cancelled less than 72 hours before departure
- 75% if cancelled less than 48 hours before departure
- 100% if cancelled less than 24 hours before departure or in the case of a no-show
6.2 Eclipse Charter will use reasonable efforts to mitigate cancellation fees imposed by Operators.
6.3 Any cancellation must be made in writing and acknowledged by Eclipse Charter to be valid.
7. Payment Terms
7.1 Full payment must be received prior to confirmation of booking. Funds must be cleared before the flight is guaranteed.
7.2 Accepted payment methods include bank transfer or, at our discretion, credit/debit cards.
7.3 Additional charges including de-icing, Wi-Fi, special catering, or airport fees are the responsibility of the Client and may be billed post-flight.
8. Liability and Limitations
8.1 Eclipse Charter acts solely as an agent and is not liable for any delays, cancellations, or operational issues related to the Operator.
8.2 Eclipse Charter is not responsible for missed flights due to late arrival or failure to present required documents.
8.3 In the event of Force Majeure, Eclipse Charter will use reasonable efforts to provide alternative arrangements, but is not liable for disruption or failure to perform.
9. Data Protection
9.1 Personal data provided by the Client will be handled in accordance with our [Privacy Policy].
10. Governing Law and Jurisdiction
10.1 These Terms of Service are governed by the laws of England and Wales.
10.2 Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
